3.2 All service scopes are defined in signed proposals, contracts, or invoices.
3.3 We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.
4. Accounts and Payment
4.1 You agree to provide accurate and complete information when engaging our Services.
4.2 You authorize Superprime Startups (and its payment processor) to charge your designated payment method for all fees, subscriptions, and retainers as outlined in your agreement.
4.3 All fees are due upon receipt unless otherwise specified in writing. Late payments may incur interest or suspension of Services.
5. Subscriptions and Retainers
If your agreement includes recurring billing (e.g., HighLevel management, software licensing, or monthly retainers), billing renews automatically unless canceled in writing 14 days before renewal.
6. Client Responsibilities
You agree to:
Provide timely access to necessary materials, logins, and approvals.
Review deliverables and provide feedback within the agreed-upon time frame.
Comply with all applicable laws and regulations regarding your business operations.
7. Intellectual Property
All original creative, strategic, or technical materials produced by Superprime Startups remain our intellectual property until full payment is received. Upon payment, a non-exclusive, royalty-free license is granted to you for your internal business use.
You may not resell, sublicense, or redistribute our work without written consent.
8. Confidentiality
Both parties agree to protect each other’s confidential information, trade secrets, and client data. We may showcase anonymized results or project summaries for portfolio or case-study purposes unless otherwise restricted by written NDA.
9. Warranties and Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not guarantee specific business outcomes, revenue increases, or client conversions, as these depend on variables outside our control.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERPRIME STARTUPS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES. Our aggregate liability shall not exceed the amount paid by you to Superprime Startups in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Superprime Startups, its officers, employees, contractors, and affiliates from any claims, losses, or expenses arising from your breach of these Terms or misuse of the Services.
12. Termination
Either party may terminate the engagement upon written notice. Outstanding fees remain payable. Upon termination, you will retain access only to deliverables paid in full.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute shall be resolved in the courts located in San Luis Obispo County, CA.
14. Changes to These Terms
We may update these Terms periodically by posting a revised version on our website. Continued use of the Services after any change constitutes acceptance of the updated Terms.
